Thank you for considering a membership with MD's Private Lounge. The only exclusive cigar & pipe smoker lounge in the Denver area. If your a business professional, up and coming entrepreneur, or well established business owner, MD's Private Lounge is looking for you. We are excited to build a community of professionals who enjoy the fine craft of cigars, networking, and business development. Below are the different packages we offer, please read through each option and select the package that fits you best. Our packages including monthly, annually, and 3 day passes. Please understand that a purchase of a membership still will require approval from MD's Private Lounge's founding members.
Membership Packages:

- Free parking
- One (1) guest pass per visit/club organization member
- Option to rent private lounge, or entire lounge (When available)
- Option to purchase additional lockers

INTERPRETATION AND DEFINITIONS
Interpretation. The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions.
For the purposes of these Terms of Service:
“You” means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
“MDPL” (referred to as either "Club", “Company”, "We", "Us" or "Our" in this Agreement) refers to MD’s Private Lounge.
“Website” or “Site” refers to mdsprivatelounge.com
“App” refers to MDPL member mobile application
“Terms of Service”: means the terms and conditions of Membership and MDPL website set out below.
“Member” means the person or company who is named on the Application for Membership form and for whom, following acceptance by MDPL, MDPL has agreed to provide services to, in accordance with these terms.
Introduction
MD's Private Lounge is a member-based social club determined to provide a private and safe space for members to interact with like minded members and experience the comfort of the club.
Our mission is to provide an exclusive lounge to the affluent diversity communities in the surrounding area, who are cigar and pipe smoking enthusiasts. Also bring together like minded members to enjoy the private settings of an upscale lounge.
Acknowledgment
These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and MDPL. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.
By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.
Membership
As an active member of MDPL:
Code of Conduct
Rule 1. Respect & Integrity
Members are responsible for respecting the integrity and dignity of each and every member of MD’s Private Lounge. Members are committed to making MD’s Private Lounge a more inclusive organization based on mutual respect and appreciation for the diversity of the social network.
Rule 2. Representation
A member’s character and actions are a reflection of MD’s Private Lounge reputation. A member shall not behave in a manner that adversely affects the reputation of MD’s Private Lounge at any events.
Rule 3. Confidentiality
MD’s Private Lounge members are responsible for providing accurate and honest information. A member shall not share his/her personal/login information or disclose any information about MD’s Private Lounge members to nonmembers, outside agencies, or commercial enterprises in any form, e.g. written, electronic, social media, and verbal.
Members have a right to:
1. Be treated fairly, equally and with respect by MD’s Private Lounge, its Committees and other members.
2. Socialize in an environment free from all forms of harassment and discrimination as defined by Federal, State and Local Laws, e.g. Title VII, Americans with Disabilities Act, Genetic Information Nondiscrimination Act.
3. Privacy and confidentiality concerning records, documentation and any other communication containing a member’s personal information, unless consent is specifically provided in accordance with MD’s Private Lounge Bylaws, Code of Conduct, Designated Committee (or designated representative) approval, and affected member approval.
4. Be informed and actively involved in all MD’s Private Lounge events and offerings.
5. Voice their opinions, requirements and suggestions to the Membership Committee.
Members must:
1. Treat other members, guests, staff of venues and other patrons (where a social club function is being held) fairly, equally and with respect and courtesy.
2. Behave legally, responsibly and conduct themselves in a manner which will not harm, cause embarrassment or injure the reputation of MD’s Private Lounge, its events, organizers, participants or sponsors. Irresponsible and/or illegal behavior includes reckless driving, driving while under the influence, and inappropriate behavior.
3. Only publicize videos, pictures, calendars and other media that are tasteful and uphold the integrity and dignity of MD’s Private Lounge membership, determined by a vote of the designated MD’s Private Lounge committee.
4. Not physically or verbally harass others.
5. Report any inappropriate behavior of a member to the Disciplinary Committee of MD’s Private Lounge for action and follow up.
6. Abide by and uphold the By-Laws and Code of Conduct of the Club.
7. Pay any fees in relation to an event, or offering (e.g. tickets, memberships, event fees) which that member has committed to, regardless of whether the member attends the event or not.
8. Notify MD’s Private Lounge club staff of any changes to address or other information.
9. Not use their membership privileges to purchase tickets to any event or other offering, at a membership price, for non-members of MD’s Private Lounge (except for parties entitled to such prices as nominated from time to time).
10. If on selling a ticket to an event which the member has booked on to and paid membership rates, if the ticket is sold to a non-member, the non-member price must be paid for by the recipient of the ticket and then the difference forwarded to MD’s Private Lounge.
Breaches of this Code of Conduct:
1. Any member not behaving in accordance with the terms of the Code of Conduct at an event of MD’s Private Lounge may be asked to leave the function and will not be entitled to a refund of any monies paid.
2. The inappropriate behavior of any members will be investigated, discussed and an appropriate course of action will be taken by the Disciplinary Committee by unanimous vote, which may include a warning, suspension or revocation of membership.
Membership fees & charges
FEES. Membership fees occur monthly or annually and payment is required upon signing (to activate membership) and upon renewal. Members understand and agree to pay the fees established for Membership to include operation costs, programming, initiatives, events, etc., as it may be amended in accordance with the Bylaws/Handbook. MDPL will bill members according to selected membership status.
AUTOMATIC RENEWAL. All Monthly Membership plans are paid by monthly automatic electronic payment (credit card, debit card, or automatic checking account draft). Monthly memberships will automatically renew each month at the same payment terms and billing date established at time of enrollment.
TRANSACTIONS. If any transaction processed by MDPL is returned from the member’s bank as insufficient funds, MDPL will make two (2) attempts to retrieve payment. If unsuccessful, membership status will be canceled. A $25 fee will be charged for all insufficient funds, late payments, and returned checks.
DISPUTES AND FRAUD. MDPL is a membership-based organization in which membership status is based on the application process. Any disputes made under false pretense and fraudulent actions will result in immediate cancellation of membership. Prorated fee amount will be returned. After two (2) disputes, member accounts will be flagged, resulting in legal actions on behalf of MDPL.
CHARGEBACKS. If, at any time, we record a decline, chargeback or other rejection of a charge of any payable Fees on your MDPL Membership (“Chargeback”), this will be considered as a breach of your payment obligations hereunder, and your membership may be automatically disabled or terminated.
Your MDPL Membership will not resume until you re-subscribe for any such MDPL Membership, and pay any applicable Fees in full, including any fees and expenses incurred by MDPL for each Chargeback received (including Fees for MDPL Membership provided prior to the Chargeback, handling and processing charges and fees incurred by the payment processor).
If you have any questions or concerns regarding a payment made to MDPL Membership, we encourage you to first contact our Member Support before filing a Chargeback or reversal of payment.
We reserve our right to dispute any Chargeback received, including by providing the relevant credit card company or financial institution with any information and documentation proving that the User responsible for such Chargeback did in fact authorize the transaction and make use of the services rendered thereafter.
CANCELLATIONS AND HOLDS.
CANCELLATION BY MEMBER. Monthly Memberships can be canceled at any time. Monthly Membership cancellations received within seven (7) days of registration may be eligible to receive a prorated refund less service fee. Cancellations received after the stated deadline will not be eligible for a refund.
Annual Membership cancellations received within thirty (30) days of registration may be eligible to receive a prorated refund less service fee. Cancellations after thirty (30) days of membership status, not to exceed forty-five (45) days may receive a fifty percentage (50%) refund of annual fee. Cancellations received after the stated deadline will not be eligible for a refund.
All plans and monthly memberships require a minimum of 15 days written notice prior to next billing date to assure cancellation of automatic payments. Cancellation requests submitted within the 15-day billing cycle will result in a final payment drawn from your account on your established auto draft date.
Cancellations should be made via your Member portal. In addition:
- All refund requests must be made by the member or credit card holder.
- Refund requests must include the name of the member and/or transaction number.
- Refunds will be credited back to the original credit card used for payment.
All plans and monthly memberships require a minimum of 30 days written notice prior to next billing date to assure cancellation of automatic payments. Cancellation requests submitted within the 30-day billing cycle will result in a final payment drawn from your account on your established auto draft date. Once final payment has been drawn from your account, members will have 30 days from the last bill date to use the facilities. It is your responsibility to provide written notice 30 days in advance of your next billing date.
MEMBERSHIP HOLDS. Members may put their membership on freeze or hold, for a period of sixty (60) days (or two calendar months) per calendar year under special circumstances. MDPL will need to approve the hold.
Notice of freeze must be given to MDPL via our Membership Hold Request Form prior to the first day of the requested hold and will not be issued retroactively. All payments drawn prior to the requested hold will not be refunded. Members will not be billed for frozen months, and billing will resume automatically upon the end of the freeze period. All prepaid Members will have memberships extended by the number of frozen months.
FORUM AND COMMUNITY RULES
We reserve the right, but are not obliged, to monitor all matter posted to the Site/App. We are not responsible or liable for material posted by others. We do, however, reserve the right to edit, refuse to post or to remove matter that in our discretion is objectionable or in violation of these Membership Terms, our policies or applicable law.
MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Site/App at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site/App. We also reserve the right to modify or discontinue all or part of the Site/App without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site/App.
We cannot guarantee the Site/App will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site/App at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance of the Site/App. Nothing in these Terms of Use will be construed to obligate us to maintain and support the Site or to supply any corrections, updates, or releases in connection therewith.

GOVERNING LAW
These terms and conditions are governed by and construed in accordance with the laws of Colorado and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
REFUSAL, SUSPENSION OR TERMINATION OF MEMBERSHIP
We may, in our discretion, immediately restrict, suspend or terminate your membership and access to the Site/App and Lounge if we consider you in breach of these Membership Terms, any other rules, or applicable law.
We reserve the right to refuse membership at our discretion.
Changes to these terms
We may revise these terms at any time on notice to you. Continued participation by you as a member shall be deemed acceptance by you of any revised terms and conditions.
